Nexient Ltd is a modern digital solutions agency dedicated to helping new and existing businesses grow their online presence through the following services:

Website design
Website re-design
Website Maintenance
Web Applications
Customer Management Relationship (CRM) Systems
Nexient Care Plans
Email Marketing
Website Hosting

All services are provided as described on our website or as agreed with you in writing.

The following section outlines important terms for our services and it is the customers responsibility to read the and understand the following information:

1. Pricing:
The pricing of projects is available on our website (https://nexient.net/pricing) and are subject to change based on requirements. In each of the pricing categories it clearly states the cost of the project, whereby meaning the price displayed is a minimum charge for the service but is subject to amendment based on the requirements of the project, and the development timeframe. We are not VAT registered, therefore the final quote given will be invoiced accordingly to the client.
 
2. Deposits:
All agreed work will require a 50% deposit before any work is carried out, upon commencement of work the deposit will then become non-refundable.
 
3. Payments:
The final balance is due on completion of the project and you will be invoiced accordingly before the website goes live. Late payment will result in a delay your project being delivered. Maintenance fees may be paid either in monthly or yearly contract (see pricing).

 4. Your Responsibilities:
When the deposit for a project has been paid, we will then arrange a discovery meeting to collect your design ideas. During this meeting, you will agree to the following:

Provide the content we need (text, images, etc.):
if you do not have these readily available you will need to advise this during the meeting
Provide us with a summary of your business, including any products or services you will be selling to aide us in creating suitable content for you.
You will endeavour to respond to all requests for information, meetings, and any other reasonable requests in a timely manner to avoid delays in the project.

You have, to the best of your knowledge conducted due diligence to ensure any content you provide is accurate and lawful Delays in providing materials may delay your project.
 
5. Amendments:
We offer reasonable revisions and adjustments during the development of the project to make sure you’re happy with the final website. However amendments must must be in line within the agreed project scope. Any major changes or new features required may incur additional costs. Any additional costs will be disccused in a meeting either before, or during implementation
 
6. Cancellations:
 Cancellations must be requested in writing no more than 5 working days prior to the agreed project start date, and the deposit may be refunded. If the cancellation request is received after the this time, the deposit will become non-refundable. In the case where wea substantial amount of work has been carried out, the deposit will not be refunded. Any requests for cancellation after the period mentioned in this clause cannot be refunded. Further information will be confirmed during the disovery session.
 
7. Liability:
 Nexient shall not be liable for any loss of business, loss of revenue, loss of profits, loss of anticipated savings, loss of goodwill, or any other indirect, incidental, special, consequential, or exemplary loss or damage arising out of or in connection with the services, products, or agreement, whether arising in contract, including negligence, or otherwise.

Nexient shall also not be responsible or liable for any failure, interruption, error, loss, damage, or other issue arising from or attributable to any third-party platform, software, service, application, integration, API, plugin, or other third-party technology, including any changes, outages, defects, security incidents, incompatibilities, or discontinuation of such third-party services.
 
 8. Third-party services:
 Websites may depend on third-party platforms, such as WordPress or hosting providers. We’re not responsible for issues outside our control. Nexient is able to provide web hosting services, should your website experience downtime due to an issue with the hosting, you will need to notify us as soon as possible so that we may investigate and resolve technical issues in a timely manner.
 
9. Intellectual Property:
 Any completed projects will become the property of your company when the final payment has been received. You automatically agree to allow Nexient to showcase completed work in our portfolio, you will be given the chance to opt out of this. When providing Nexient with content for your project, please ensure that you have the rights to any content you provide us.
 
10. Termination:
 We reserve the right to cease working on your project under the following conditions: Any outstanding invoice payments have not been made within 14 business days of the date the invoice due dateAny communication break downs or if you simply fail to respond in a timely manner. Any of these terms of service are breached.
